Agenda topics include the contractual duties to defend and indemnify, and the practical reality of what happens in a lawsuit when a firm has a bad lawsuit, a bad contract, indemnification obligations and the duty to defend.

Participants will also learn what the ideal defense and indemnity clauses would look like given recent case law in various jurisdictions, including the now well-known UDC and Crawford decisions out of California. Also discussed will be other contractual clauses that can assist the design professional in managing risk-if properly drafted-including scopes of service descriptions, limitations of liability, consequential damages waivers, and sole corporate remedy provisions.
